Terms of Service

Elegance Events is an integrated SaaS (Software as a Service) platform for planning and managing events. The platform serves two main categories of customers:

A. Organisers (individuals / standard users)

They have access to customisable tools such as:

• QR-code tools: QR Moments (for photo/video sharing) and QR Seat (for scanning table seating).
• Budget management and task list (Checklist).
• The RSVP module and digital guest management.
• Creating and sending invitations, and a personalised Website Builder for their own event.

B. Service vendors (Vendor Marketplace)

• Creating a professional profile on the platform.
• Displaying a portfolio (photographs, description, services offered).
• Displaying contact details and collecting/managing reviews.

2.1. The platform is intended exclusively for persons who are at least 18 years old and have full legal capacity to enter into contracts. By creating an account, you declare on your own responsibility that you meet this condition. We reserve the right to delete, without prior notice, any account we learn belongs to a minor.

2.2. To use the services you must create an account, providing true, complete and up-to-date information.

2.3. You are solely responsible for keeping your access credentials confidential (password, email address). Any action taken from your account will be deemed to have been taken by you.

2.4. The platform uses state-of-the-art technical security measures to protect data; however, we cannot guarantee absolute security against cyber attacks amounting to force majeure.

3.1. For Organisers: access to the platform's full functionality is granted on the basis of a one-time payment, in accordance with the offer displayed on the site at the time of purchase.

3.2. For Vendors: listing in the Marketplace section is granted on the basis of either a one-time payment or a recurring subscription, according to the plan chosen.

3.3. Payment processing: all payments are processed securely through our authorised partner (Stripe). The Company does not store your bank card details.

3.4. Waiver of the right of withdrawal (no refunds)

Because the Elegance Events platform supplies digital services and digital content not delivered on a tangible medium, the exceptions provided by the applicable legislation apply.

By creating an account, accepting these Terms and completing payment (whether a one-time payment or a subscription — applicable equally to Organisers and to Vendors), the User gives their prior express consent to the commencement of the supply of the digital services. In accordance with Romanian Government Emergency Ordinance no. 34/2014, Article 16 letter m), the User acknowledges and accepts that, upon activation of access to the paid features, they lose their right of withdrawal (the right to request a refund) within the statutory 14-day period.

3.5. Automatic subscription renewal (Vendors): for recurring subscription plans, the amount for the following period will be charged automatically to the card on file. The User may cancel automatic renewal at any time from their account settings; however, cancellation takes effect only at the end of the period already invoiced, and partial refunds are not possible.

4.1. Processing of personal data (relationship with Organisers)

The collection and processing of personal data through the platform is carried out in strict compliance with Regulation (EU) 2016/679 (GDPR) and Romanian Law no. 190/2018.

With respect to the guest data you enter in the RSVP, Seating, Checklist or Invitations sections (name, telephone number, dietary preferences, etc.), you (the Organiser) act as the data Controller (Art. 28 GDPR) and Elegance Events acts strictly as Processor. The Organiser warrants, and shall bear any fines or damages arising otherwise, that it complies with Art. 6 GDPR (lawfulness of processing) and that it has the consent or another legal basis for uploading its guests' data to the platform. The Company accepts no liability for the unlawful processing of third-party data by the Organiser.

4.2. User-uploaded content — licence to use

By uploading any content to the platform (photographs, video, voice messages via QR Moments, Vendor portfolio photographs, texts for the event website, etc.), the User grants Elegance Events a non-exclusive, royalty-free, worldwide licence to store, technically process and display that content, strictly for the purpose of providing the feature it was uploaded for (e.g. display on the event's public page or on a Vendor profile). This licence does not transfer ownership of the content to the Company and ends when the content or the account is deleted, save for copies retained temporarily in backup systems.

4.3. Vendor obligations

• The Vendor warrants that it holds the copyright and intellectual property rights to all materials (photographs, video, text) uploaded to its profile, and is fully liable towards any third party claiming an infringement of those rights.
• Posting false information, misleading offers or fraudulent reviews is strictly prohibited.
• We reserve the right to suspend immediately and without refund any vendor profile reported for fraud or for breaching applicable law.
• Where a third party makes a well-founded complaint alleging infringement of its copyright in content published by a Vendor, we reserve the right to remove that content without prior notice and to inform the Vendor afterwards.

4.4. General restrictions

You must not:

• Use the platform for spam, phishing or any unlawful activity.
• Attempt to gain unauthorised access to the platform's database or source code (hacking, scraping).
• Upload content that is offensive, obscene, discriminatory, or that infringes third-party rights.

5.1. The platform as intermediary: Elegance Events is a provider of technical infrastructure (SaaS) and a publishing space (Marketplace). We are not a party to the contracts, bookings or commercial arrangements concluded between Organisers and listed Vendors.

5.2. Quality of third-party services: we do not guarantee the quality, punctuality, legality or safety of the services performed by Vendors. Any financial dispute, claim for compensation or litigation regarding the performance of services between an Organiser and a Vendor shall be settled exclusively between them, the Company being entirely released from any liability.

5.3. Platform availability: the service is provided “as is” and “as available”. We do not guarantee uninterrupted, error-free operation.

5.4. Limitation of damages: these Terms have been drafted in compliance with Romanian Law no. 193/2000 on unfair contract terms. To the maximum extent permitted by law, the Company, its directors and its employees shall NOT be held liable for any direct, indirect, incidental, special or consequential damage (including loss of profit, the failure of an event, RSVP errors or data loss) arising from use of the platform. The Company's maximum financial liability towards a user shall not exceed the amount actually paid by that user to Elegance Events in the preceding 12 months.

5.5. Indemnity: the User agrees to defend, indemnify and hold harmless Elegance Events, its directors and its employees against any claim, damage, cost or expense (including reasonable legal fees) brought by a third party — including a Guest or another User — arising from: (a) the User's breach of these Terms; (b) content uploaded by the User; (c) the manner in which the User processed third-party data without a legal basis.

All original content of the platform (logo, source code, UI/UX design, algorithms, interface texts) is the exclusive property of Elegance Events. Websites created by Organisers (Website Builder) belong to them as regards their content (their own texts and photographs); however, the structure, the templates and the technology remain the property of the Company and may not be copied or reused elsewhere.

7.1. You may request deletion of your account at any time. We reserve the absolute right to suspend or permanently delete, without prior notice, the account of any user who breaches these Terms, creates legal risk, or causes harm to the platform.

7.2. Upon deletion of an account, data may be retained for the period required by legal obligations (accounting, tax) or for the resolution of any pending disputes, in accordance with the Privacy Policy.

Neither party shall be liable for failure to perform its obligations where such failure is caused by an event of force majeure (natural disasters, war, strikes, widespread failure of internet networks, critical failures at cloud hosting providers).

9.1. This document is governed by the laws of Romania. Any disagreement shall first be resolved amicably. If the dispute cannot be settled amicably within 30 days of written notice, it shall be submitted for resolution exclusively to the competent courts at the Company's registered office.

9.2. Consumers who are natural persons may, in accordance with the legislation on alternative dispute resolution (Romanian Government Ordinance no. 38/2015), contact the Romanian National Authority for Consumer Protection (ANPC) or another relevant ADR body, as well as the European online dispute resolution platform (ODR), available at ec.europa.eu/consumers/odr. Recourse to these avenues is optional and does not prevent the User from applying directly to the competent courts.

9.3. For consumer Users resident in other EU Member States, this choice of Romanian law cannot deprive them of the mandatory protections afforded by the law of their country of residence, to the extent that it provides a higher level of protection, in accordance with the European rules applicable to consumer contracts.

The Company reserves the right to update these Terms at any time, to reflect legislative or operational changes. Each published version carries a version number and an effective date, shown at the top of this document. Continued use of the platform after the Terms are changed constitutes acceptance of the new provisions.

11.1. If any provision of these Terms is declared void, unlawful or unenforceable by a competent court, the remaining provisions remain in full force and effect, and the void provision shall be replaced by one that most closely reflects the parties' original intention.

11.2. A failure by Elegance Events to exercise a right provided under these Terms does not constitute a waiver of that right.

11.3. Language of the contract: this document is drawn up in Romanian, which is the only binding version. Any translation into another language is provided for information purposes only, and in the event of any discrepancy between versions the Romanian version prevails.
